These entries do not describe a court proceeding: they set out what official registries (Michigan, Illinois, Florida, Panama) say about companies run by Remy and Jean-Marc Jacobson — revocations, strike-offs, arrears, sales not announced to investors. Each entry links to the registry.

DeFi Labs, S.A. (Panama): the brothers’ company, behind on social security contributions

On 1 November 2022 the corporation “Web3 Studios DeFi Labs, S.A.” was incorporated before the Twelfth Notary of Panama (public deed no. 26382); it was entered in the Public Registry on 15 November 2022, at folio 155729882, with capital of US$10,000 (100 registered shares of $100) and unlimited duration. According to the entry, Remy Romain Jacobson is president, Jean-Marc Alexandre Jacobson treasurer and Sherri Ann Pelski secretary; on her LinkedIn profile, she describes herself as RealT’s chief financial and compliance officer (CFO / CCO); all three are directors, and legal representation lies with the president or the secretary. The registered agent is the law firm Pérez y Antebi. On 23 January 2023 an extraordinary shareholders’ meeting chaired by Remy Jacobson renamed the company “DeFi Labs, S.A.” (deed no. 1716 of the same day). Panama’s Social Security Fund (Caja de Seguro Social, CSS), a public body, publishes the official list of employers behind on their contributions. DeFi Labs S.A. (employer no. 8783914534, same tax number 155729882-2-2022) appears on the October and November 2024 lists, marked “no tiene acuerdo”: no payment arrangement had been made. It is not on the June and December 2025 lists, then reappears on the June 2026 list, with Remy Romain Jacobson as legal representative: five unpaid monthly payroll filings, 10,037.49 balboas owed to the CSS and 4,606.34 balboas to the Ministry of Economy and Finance, 14,643.83 balboas in total (the balboa is pegged one-to-one to the US dollar). No court proceeding is mentioned in these documents.

1815 S Avers Ave (Chicago): bought for $275,000 in 2021, sold for $115,000 in 2026

This six-unit building in Chicago’s Lawndale neighbourhood was sold as tokens by RealT (“RealToken 1815 S Avers Ave, Chicago, IL 60623”). According to Cook County land records, RealToken LLC Series 110 bought it in June 2021 for $275,000 (document no. 2119420138). The warranty deed (document no. 2624424044) was signed on 20 August 2026 by Remy Jacobson, “Director of Realtoken Inc, its Manager”, before a Massachusetts notary (Worcester County), Sherri Pelski, who is also the CFO named in RealT’s 2022 SEC filings; it was recorded on 1 September 2026. The price declared on the record is $115,000 (transfer stamps: State $115, County $57.50, City $1,207.50), 58% less than the 2021 price. The buyer is “1815 S Avers LLC”, an Illinois company; the deed was prepared by a Northbrook (Illinois) law firm. On 27 August 2026, a week after the signing, the City of Chicago sued “RealToken LLC Series 110 – 1815 S Avers”, a company called “Clark & Randolph LLC” and “unknown owners” in the Cook County municipal court for Municipal Code violations (case no. 20261401021, courtroom 1111, first court date 7 October 2026); the lis pendens was recorded on 14 September 2026 (document no. 2625710155). On 21 September 2026 the new owner recorded a notice from the Chicago Department of Housing: a garden-level unit (“unit GR”, one bedroom) becomes a regulated affordable unit for thirty years (document no. 2626408067). In the county’s 2026 tax data, the property tax bill is now addressed to 1815 S Avers LLC. UPMP, a RealT token holder, received no information from RealT about this sale.

RealToken LLC and RealToken Technologies Inc. (Florida): struck off on 25 September 2026

On 25 September 2026 the Florida corporate registry ended two RealT companies’ standing for failing to file their 2026 annual report. RealToken LLC (formerly RealToken International (S) LLC, formed in January 2022, registered in St. Petersburg), whose listed authorised representative is Sherri Pelski, was administratively dissolved (“admin dissolution for annual report”). RealToken Technologies Inc. (formerly RealToken Inc., a Delaware corporation registered in Florida since June 2019, in Boca Raton), with Remy Jacobson listed as chairman and president, had its authority to do business in Florida revoked (“revoked for annual report”). Both companies had filed their reports every year up to April 2025.

Between 28 June and 8 September 2022, seventeen “RealToken [address] Inc.” companies (Delaware, registered at 980 N Federal Hwy, Boca Raton) each file a Form D with the SEC for one Detroit or Cleveland house: for example $55,419 for 9795-9797 Chenlot (first sale 9 June 2022, 20 investors declared accredited, $50 minimum, no commission), plus 3510 Ewald Circle, 10147 Somerset, 14117 Manning, 11117 Worden, 616 E 131st St, 9200 Harvard, 14439 Longview, etc. The related person listed is Sherri Pelski, CFO. These seventeen filings are the only ones ever made by a RealToken entity in EDGAR: none before June 2022, none after September 2022, although RealT tokenised several hundred houses from 2019 to 2026. Sales to non-US buyers fall under another regime (Regulation S) that does not require this filing; no SEC proceeding against RealT is known.

CleanSat Mining (Neuchâtel): seven mining companies co-directed by Michaël Courvoisier, RealT’s technical lead

Michaël Courvoisier, presented by RealT as its chief operating officer and later blockchain lead (RMM, YAM, DAO), is a director with individual signing authority of RWA Holdings SA, the Swiss holding that in March 2024 sold $5 million of tokens representing 6.25% of RealToken Technologies Inc. The register shows he has also been, since 2022-2023, a director (joint signature) of seven bitcoin-mining companies: CleanSat Mining SA (6 October 2022), then CleanSat Mining Alpha, Omega, Beta, Gamma, Beta Prime and Delta SA (March to August 2023), all chaired by Richard Détente, founder of the Grand Angle media outlet, with Guillaume Goualard as managing director. These companies are domiciled at the same Neuchâtel fiduciary as RWA Holdings SA and built on the same template: CHF 100,000 capital contributed in tokens (USDC), shares at CHF 0.01 or CHF 0.000000001, capital-band clause. RealT acknowledged in March 2025 that RWA Holdings’ value “may be affected by the difficulties” of CleanSat Mining, in which RealT held shares, and that the work with CleanSat served to develop its white-label technology. In January 2026 four of these companies appointed an auditor. All seven are active as of 2 October 2026, with Michaël Courvoisier still registered. An exhaustive reading of the 593 registry publications containing the name “Courvoisier” (2022-2026) shows no other entry in his name: no other mandate, no debt enforcement, no removal. On Telegram, the “Skyline_ch” account that answered RealT investors is registered under his name; Crunchbase lists him as RealT’s COO since August 2020. No proceedings against these companies or against Michaël Courvoisier are known.

Michigan registry: RealToken Inc., run by Remy Jacobson, revoked since July 2022

RealToken Inc., a Delaware corporation registered in Michigan on 13 June 2019 (no. 802333723), is listed as “Revoked – Operation of Law” since 15 July 2022; its last annual report on file dates from 2020. Remy Jacobson is listed as president, secretary, treasurer and sole director. Yet according to the City of Detroit’s amended complaint, RealToken Inc. is the “Managing Member” of the RealT companies sued in Detroit. In Michigan, a foreign corporation whose authority has been revoked cannot bring an action in the state’s courts until it is reinstated; its contracts remain valid. Two other companies sued by the city, Stanislas LLC and Cadieux Apartments LLC, are still registered but not in good standing: their annual statements have been overdue since 2022. None of the “RealToken International … Inc.” corporations, named by the city as owners of Detroit houses, appears in the Michigan registry. The ten Michigan RealToken I to X companies and RealToken LLC are, by contrast, active and in good standing.

Illinois: the companies owning RealT’s Chicago buildings revoked in June and August 2026

All four RealT companies registered in Illinois are listed as revoked for failing to file their 2026 annual report. RealToken LLC, the Delaware company whose series (nos. 59, 70, 103, 108, 110, 111, 112, 116, 118, 193) hold most of RealT’s Chicago buildings, registered in Illinois on 4 February 2022 (no. 11412238), was revoked on 14 August 2026; its listed manager is Remy Jacobson. RealToken 1418 W Marquette Rd., Inc. and RealToken International 618 E 79th St, Inc., registered on 11 January 2023, were revoked on 12 June 2026; RealToken International 8003 S Ingleside Ave Inc is also revoked. The three companies that bought Chicago buildings in 2024 (RealToken International 350 E 74th St, 351 E 119th Pl and 12354 S Normal Ave) do not appear in the Illinois registry. A revoked company cannot bring an action in Illinois courts until it is reinstated; its contracts remain valid.
